Terms and Conditions
These Terms and Conditions constitute a legally binding agreement between you (or the firm you represent) and Lexbry in connection with any engagement for accounting services. Please read these terms carefully before entering into any service arrangement.

1. Agreement and binding nature
By engaging Lexbry for any service, whether through a signed engagement letter, written confirmation, or commencement of work, you agree to be bound by these Terms and Conditions. Where there is a conflict between these terms and a specific written engagement agreement, the specific agreement shall take precedence.
These terms apply to the client firm and, where applicable, to any partner, director, officer, or representative acting on its behalf.
2. User obligations and conduct
- —You agree to provide accurate, timely, and complete information necessary for Lexbry to carry out the agreed services.
- —You are responsible for the accuracy of all source documents and records provided to Lexbry for processing.
- —You must not use any deliverables or outputs provided by Lexbry for purposes other than those agreed in the engagement.
- —You agree to notify Lexbry promptly of any material changes to your firm's structure, accounts, or compliance requirements that may affect the work.
3. Prohibited activities
- —You must not knowingly provide false, misleading, or fraudulent information to Lexbry at any point.
- —You must not use Lexbry's services in connection with any activity that is unlawful, deceptive, or contrary to professional conduct rules applicable to your jurisdiction.
- —You must not seek to circumvent any regulatory obligation by misrepresenting the nature of transactions or accounts to Lexbry.
4. Age and authority
By engaging Lexbry, you confirm that you are at least 18 years of age and, where acting on behalf of a firm or company, that you have the authority to enter into this agreement on its behalf.
5. User responsibilities
- —Compliance with law: You remain solely responsible for compliance with all laws, regulations, and professional rules applicable to your firm, including those relating to client money handling. Lexbry's services support this compliance but do not substitute for your own obligations.
- —Indemnification: You agree to indemnify Lexbry against any losses, costs, or claims arising from inaccurate information provided to us or from your firm's failure to comply with applicable regulatory requirements.
- —Data handling: Any personal data shared with Lexbry in the course of an engagement will be handled in accordance with our Privacy Policy.
6. Disclaimers and limitation of liability
- —No warranty: Lexbry provides its services with reasonable care and skill. No warranty is given, express or implied, that the services will be free from error or that any particular outcome will be achieved.
- —Limitation of liability: To the extent permitted by law, Lexbry's aggregate liability to you in connection with any engagement shall not exceed the total fees paid by you for the relevant service during the 12 months preceding the claim.
- —Consequential damages: Lexbry shall not be liable for any indirect, special, or consequential loss, including but not limited to loss of profit, loss of business, or regulatory penalties, even where the possibility of such loss was foreseeable.
- —Force majeure: Neither party will be liable for delay or failure in performance caused by events beyond reasonable control, including but not limited to acts of government, natural disasters, or telecommunications failure.
7. Dispute resolution
- —In the event of a dispute, both parties agree to attempt resolution in good faith through direct correspondence before pursuing formal proceedings.
- —Where direct resolution is not possible, the parties may agree to refer the matter to an independent mediator before litigation.
- —These terms shall be governed by applicable law in the relevant jurisdiction, as agreed in the specific engagement agreement.
8. Severability and modification
- —If any provision of these terms is found to be unenforceable, the remaining provisions continue in full effect.
- —Lexbry reserves the right to update these Terms and Conditions. The most current version is always available on this page, with the date of last revision shown above.
